Website Maintenance Terms and Conditions
- Purpose of the Agreement
- This agreement outlines the terms and conditions under which DWH Marketing (“Service Provider”) will provide website maintenance services to the client (“Client”). By engaging our services, the Client agrees to these terms and conditions.
- Confidentiality
- All information provided by the Client for the purpose of website maintenance is considered confidential. The Service Provider agrees not to disclose any information to any third party, except as may be necessary for the completion of the maintenance services as discussed with the Client.
- Intellectual Property
- The Client retains ownership of all intellectual property provided for website maintenance, including existing trademarks, logos, and copyrighted material. The Service Provider agrees to use such materials solely for the purpose of maintaining the Client’s website.
- The Client ensures that any content provided does not infringe on the rights of any third party and indemnifies the Service Provider against any liabilities, costs, expenses, damages, and losses caused by infringing third-party intellectual property rights.
- Use of Information
- The information provided by the Client through this agreement will be used by the Service Provider to:
- Perform regular updates and maintenance as agreed.
- Implement security updates and performance optimisations.
- Address any issues or bugs reported by the Client.
- Ensure the website is functioning smoothly and efficiently.
- The Client is responsible for ensuring that the content provided for the website does not infringe on the rights of any third party, and indemnifies the Service Provider against all liabilities, costs, expenses, damages, and losses caused by infringing any third-party intellectual property rights.
- Modifications
- Any modifications to the information provided in this agreement must be communicated in writing by the Client. The Service Provider will assess the impact of any such modifications on the scope of work and timeline, and adjustments may be subject to additional charges.
- Agreement to Terms
- By engaging in our maintenance services, the Client agrees to these terms and conditions. The Service Provider reserves the right to change or update these terms and conditions at any time. Any changes will be effective immediately upon posting the revised terms and conditions on our official communication channels.
- Termination
- Either party may terminate this agreement with written notice. In the event of termination, the Client is liable to pay for all maintenance work completed to date. Any work in progress will be billed proportionally.
- The Service Provider reserves the right to terminate services if the Client fails to comply with these terms and conditions.
- Governing Law
- This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Service Provider operates.
